Value Creation in EMEA Demergers ——An Empirical Evidence

在美国,“企业分立”通常指一个集团分离成两个或两个以上的独立实体,并按照母公司的股东持股比例将股份分配给原有股东。企业分立通常有两种方式,一种是以股利形式发放剥离出来的实体的股票;另外一种则是解散母公司,直接将股票发放给股东。历史上大部分的企业分立发生在美国,但近年来在欧洲市场上也有很大幅度的增加。据统计,在2000年至2011年间,欧洲、中东和非洲地区一共有90多起交易,例如菲亚特和菲亚特工业、PostNL/TNT和Carphone Warehouse/Talk Talk。目前关于企业分立后短期和长期表现的实证文献主要是研究美国企业的经验,只有少数的文献研究欧洲的经验(据我所知只有Kirchmaier在2003年的研究,Veldt和Veld-Merkoulova在2004年-2006年的研究,以及Sudarsanam和Qian在2007年的研究)。这是由于与欧洲相比,美国企业分立有更悠久的历史和更高的频率。另外,欧洲国家不同的监管环境也是原因之一。本论文的目的是研究最近的欧洲,中东,非洲地区企业分立的浪潮(1998-2009),为这些日益流行的重组提供了一个全面和详尽的分析。在109个欧洲,中东和非洲地区交易的样本基础上,本文首先研究了企业分立后,母公司和剥离出来的实体的短期和长期的财富效应。研究发现短期内超额累计收益为正,而长期的超额累计收益却并不显着异于零。这一结果表明,欧洲,中东和非洲地区的合并企业分立,与美国企业分立不同,他们不具有与半强有效市场假设相符合的长期优异绩效。其次,本文研究了两种类型的企业分立对股东价值提高的差异：分立公司与母公司是不同行业的情况以及分立公司与母公司是同一行业的情况。研究发现前者优于后者,两个子样本有显著异于零的差异。这些结果与以往的对北美和欧洲市场的研究结果一致。最后,本文通过对企业分立归类来分析增值的不同来源：一类是“价值创造”,即经营业绩的改善;另一类是“价值认同”,即信息不对称的减少。研究发现只有分立公司与母公司是不同行业的时候才具有正面的“价值创造”,因此这种情况的超额累计收益比与分立公司与母公司是同一行业的表现要优异。而两个子样本都通过“价值认同”的机制都减少了信息不对称。

Brazil annually faces significant challenges with mass movements, particularly in areas with poorly constructed housing, inadequate engineering, and lacking sanitation infrastructure. Campos do Jordão, in São Paulo state, is a city currently grappling with these issues. This paper details a study conducted within a pilot area in Campos do Jordão, where geophysical surveys and geotechnical borehole data were integrated. The geophysical surveys provided 2D profiles, and samples were collected to analyse soil moisture and plasticity. These datasets were combined using a Cokriging-based model to produce an accurate representation of the subsurface conditions. The enhanced modelling of subsurface variability facilitates a deeper understanding of soil behavior, which can be used to improve landslide risk assessments. This approach is innovative, particularly within the international context where similar studies often do not address the complexities associated with urban planning deficits such as those observed in some areas of Brazil. These conditions, including the lack of proper sanitation and irregular housing, significantly influence the geological stability of the region, adding layers of complexity to subsurface assessments. Adapting geotechnical evaluation methods to local challenges offers the potential to increase the efficacy and relevance of geological risk management in regions with similar socio-economic and urban characteristics.

In this study, we present a PSHA（Probabilistic Seismic Hazard Analysis） for the city of San Juan, which is located in the central-western region of Argentina（30°S-35.5°S; 66.5°W-71°W）. In addition to crustal earthquakes provided by catalogues, recent paleoseismological and neotectonic investigations have permitted to consider events which occurred during the last 400 *** seismogenic sources that could cause damages to the studied site corresponding to Precordillera,Western Sierras Pampeanas, Basement of the Cuyana Basin and Cordillera Principal were *** on the evaluation of the contribution of these sources,maximum moment magnitudes above 7.5（Mw） are *** values of SA（spectral acceleration）（0.2 and 1 s periods） and PGA（peak ground acceleration） were found in the city of San Juan, which suggests that it is located in a zone of high seismic ***, the obtained SA spectra were compared with the seismic-resistant construction standards of Argentina INPRES-CIRSOC 103 [1]. Results suggest that for the city of San Juan and for a return period of475 years, it covers the seismic requirements of the structures.

A rheological method for selecting nano-kaolin powder as filler in SBR rubber

This paper shows that the stiffness ofstyrene-butadiene solid rubber with added kaolin powder is related to the yield stress of kaolin dispersion in liquid polybutadiene rubber up to the percolation threshold. For five kinds of kaolin powder, the value of τ° spans the range of 100-430 Pa, while the corresponding compressive elastic constant of SBR varies from 12 to 21 MPa. A relationship between τ° and △E^i^＊/ER^＊ is proposed. Critical examination of these data infers that kaolin powder dispersed in solid rubber matrix acts as an additive which decreases the random movement of the polybutadiene chains. Consequently, dispersions of nano-particles in liquid and in solid SBR are considered to be related, thus leading to a theological method for selecting nano-particles as fillers in solid SBR.

Retrofitting of existing ancient and modern timber structures has been an important project *** it triggers a need of excellent strengthening methods,so does the strengthening of newly built *** strengthening methods have shortcomings such as high costing and destroying the aesthetic of the structure,many of which can be overcome by means of using fiber reinforced polymer(FRP)***,the behavior of FRP-towood systems has yet to be thoroughly researched compared with their FRP-toconcrete or FRP-to-steel *** FRP retrofitting and strengthening timber structures has a promising future,better understanding of their failure modes will enable more precise designs balancing safety and *** of the most common FRP-to-wood systems in the literature are discussed in this paper,namely,the externally bonded reinforcement(EBR),the near-surface mounted(NSM)and the glued-in rods(GiR)*** of the FRP from the substrate is one of the most common failure modes,which exhibits the significance of the interface bond between FRP laminates and ***,bond properties and behavior of FRP-to-wood composite systems are described,parameters influencing the composite action are summarized in this paper,previous works on the bond interface of FRP and timber element are reviewed and future topics are also *** work can provide a reference for future research and engineering applications.

Bamboo is an eco-friendly material with light weight,high strength,short growth cycle and high sustainability,which is widely used in building *** bamboo has further promoted the development of modern bamboo structures due to its unrestricted size and ***,as a fiber-reinforced material,fracture damage,especially Mode I fracture damage,becomes the most likely damage mode of its structure,so Mode I fracture characteristics are an important subject in the research of mechanical properties of *** paper summarizes the current status of experimental research on the Mode I fracture properties of bamboo based on the three-point bending(TPB)method,the single-edge notched beam(SENB)method,the compact tension(CT)method and the double cantilever beam(DCB)method,compares the fracture toughness of different species of bamboo,analyzes the toughening mechanisms and fracture damage modes,discusses the applicability of different theoretical calculation methods,and makes suggestions for future research priorities,aiming to provide a reference for future research and engineering applications in related fields.

Over the past decade,the physical and mechanical performances of laminated bamboo lumber(LBL)–a bamboo-based structural material,have been extensively studied using experimental,analytical,and numerical *** paper presents a review of existing knowledge in the literature about the mechanical properties of *** paper involved the review of the response of LBL to different types of loading such as tension,bending,compres-sion,and *** on results of the literature reviewed,the strength of LBL parallel to grain was 90–124 MPa with MOE of 10700 MPa in tension,29.55–72.60 MPa,and MOE of 8396–11022 MPa in compression,63.87–128.4 MPa,and MOE of 8320–10912 MPa in bending,and 7.15–17.5 MPa in *** average strength of LBL was similar and in some cases exceeded the average values of bamboo-or wood-based materials,while the variability of its mechanical parameters was *** variability in strength values of LBL was affected by bamboo species,density and thickness of bamboo strips,growth portion,type of treatment,strips arrange-ments,and type of adhesive which in turn calls for classification of LBL by strength grades,degree of hardness,the capability of impregnation and penetration,as well as by areas of application in *** study pro-vided and discussed concluding observations,the current research gap,and future research directions on the mechanical properties of LBL.

The utilization of pure hydrogen as an energy source in fuel cells gave rise to renewed interest in developing active and stable water-gas shift catalysts. Gold catalysts have proven to be very efficient for water-gas shift reaction at low temperature. The aim of the present study was to investigate the effect of:(i) different preparation methods(impregnation and coprecipitation) to obtain a modified ceria support,and(ii) the amount of Y_2 O_3(1.0 wt%, 2.5 wt%, 5.0 wt% and 7.5 wt%) as dopant on the water-gas shift activity of Au/CeO_2 catalysts. An extended characterization by means of S_(BET), XRD, HRTEM/HAADF, FTIR,H_2-TPR and CO-TPR measurements in combination with careful evaluation of the catalyst behavior allowed to shed light on the parameters governing the water-gas shift activity. The catalysts show very high activity(>90% CO conversion) in the temperature range 180-220 ℃,with a slightly better performance of the gold catalysts on supports prepared by impregnation. The decreased activity with increasing Y_2 O_3 concentration is related to the hindering of oxygen mobility due to ordering of surface oxygen vacancies in vicinity of segregated Y^(3+). The effect of catalyst pre-treatments and the stability of the best performing samples were examined as well.
