摘 要：有限合伙制度源于康曼达契约(Commenda),逐渐形成了如今的有限合伙制度。有限合伙的特点突出,其价值体现在优越的约束和激励机制,灵活的操作和优惠的税收待遇。研究有限合伙在风险投资领域的广泛应用,分析了有限合伙及其权利义务关系,提出了我国有限合伙制度的可行建议。
